These Terms of Service (these "Terms") govern your use of the artificial intelligence ("AI")-powered business operations platform sim1.dev and any tools, features and functionality offered on or through sim1.dev (collectively, the "Services"), operated by ProgMa Group AB ("sim1," "we," or "us").
Please read these Terms carefully, as they include important information about your legal rights. By accessing or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.
For purposes of these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity, then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.
Overview. The Services are designed to assist you in creating, planning and operating your own business or organization ("Your Organization") under your account. You may only use the Services to operate businesses or organizations that are legally permissible, and you are solely responsible for reviewing and validating that all actions taken on behalf of Your Organization are legally permissible.
Depending on your configuration and enabled features, the Services execute a variety of AI-driven workflows designed to formulate business plans, create content, execute tasks and interact with third parties on behalf of Your Organization. In all instances, you are solely responsible for all actions the Services take on behalf of you and Your Organization.
Agentic Actions. You are responsible for reviewing and approving publication of Your Outputs (as defined below), monitoring costs incurred by the Services for Your Organization, configuring and limiting permissions and integrations, and supervising actions performed through the Services. sim1 acts as your authorized agent when the Services perform any action at your direction or under permissions, budgets, schedules, credentials, integrations, or settings that you enable, including actions on Connected Services (collectively, "Agentic Actions"). You agree that when taking Agentic Actions on your behalf, the agents powering the Services constitute an "electronic agent" or equivalent concept under applicable electronic transactions law.
No Guarantee of Accuracy. AI-generated content, including Your Outputs and Agentic Actions, may be incomplete, misleading, biased, erroneous, inaccurate or inappropriate, even when it appears detailed or specific. You are responsible for reviewing all Your Outputs and Agentic Actions — including for accuracy, suitability and appropriateness for your use case — before using, publishing, distributing or otherwise relying on them.
No Professional Services. You are solely responsible for obtaining all necessary permits, licenses, and consents needed to operate Your Organization. sim1 is not a law firm, financial advisor, tax advisor, regulated fiduciary, medical provider or other licensed professional. Do not rely on the Services, Your Outputs or Agentic Actions as your sole source of information, or to make legal, medical, tax, financial, insurance, employment or regulatory compliance decisions, without qualified human review and independent verification.
Public Dashboards & Subdomains. Your Organization may be assigned a subdomain (for example, yourcompany.sim1.dev) with an auto-generated landing page, hosted by the Services and potentially indexed by search engines. We reserve the right to remove any subdomain at any time, for any reason — you should port it to your own domain if you want to retain long-term control. You are responsible for all content displayed on your public dashboard and subdomain, including Your Outputs and Agentic Actions, and we may remove or disable access to such content at our discretion, including if we believe it violates these Terms, applicable law, or third-party rights.
Advertising. By enabling advertising features and setting an advertising budget via the Services, you authorize the Services to create advertising campaigns, ad sets, and individual advertisements on your behalf; generate and upload AI-created creatives to third-party advertising platforms; and pause campaigns automatically if payment fails or a policy issue arises. AI-generated advertising content is subject to the relevant third-party platform's content policies, and you are responsible for ensuring your advertising content and campaigns comply with them.
Outbound Communications. If you configure email automation, the Services may send emails on your behalf to individuals you specify, using AI-generated content, and may send automated follow-ups if no response is received. You are responsible for ensuring you have a legal basis to contact each recipient. Outbound communications are rate-limited and include opt-out mechanisms, and you are responsible for ensuring recipients can opt out at any time.
Connected Accounts. "Connected Services" means (i) external third-party services you connect via OAuth or API credentials (for example, your domain registrar, email provider, or advertising accounts), which you authorize sim1 to access and use to provide the Services, and (ii) services sim1 may operate on your behalf using sim1-owned credentials to enable certain features (for example, a shared advertising account), where sim1 acts as your authorized agent. In either case, you remain responsible for Your Inputs, Your Outputs, and compliance with each applicable third-party platform's policies. You are responsible for enabling, monitoring and revoking permissions granted to the Services governing their interaction with Connected Services, including any permissions that allow Agentic Actions on your behalf.
Infrastructure Provisioning. If you enable infrastructure features, the Services may create cloud resources on your behalf — such as source code repositories, hosted databases, and web hosting — under sim1-managed accounts unless you connect your own provider credentials. You retain ownership of the source code and data within those resources. The Services may also operate certain functions on automated schedules based on your prior, general approval, without requiring per-execution approval (including advertising, outreach, and infrastructure operations). You may disable specific features at any time through your workspace settings, which stops related scheduled operations.
You must be at least 18 years old to use the Services. To use certain features, you need to create an account ("Account"). You agree to provide accurate, complete and updated information, and you can access, edit and update your Account in your workspace settings.
You are solely responsible for any activity on your Account, including actions the Services take on your behalf in operating Your Organization. You are responsible for maintaining the confidentiality and security of your credentials, and must notify us immediately at roni@progma.se if you suspect your Account has been compromised.
Subscription. Paid plans are billed monthly in advance in USD via Stripe at the price shown on our Pricing page or during checkout. Subscriptions automatically renew at the then-current rate until cancelled. You can cancel anytime from your workspace billing settings — access continues through the end of your current billing period. Except as required by law, payments are non-refundable and there are no credits for partial periods. We may change our pricing at any time, with reasonable notice before it applies to you.
Advertising Spend. If you enable advertising and set a daily budget, you authorize the Services to spend up to that budget through your connected advertising account. Advertising costs are charged by the applicable third-party platform under its own terms. sim1 does not add a percentage-based platform fee to your advertising spend. Third-party platforms may deliver spend at varying rates, so actual daily charges may fluctuate around your configured budget. If a charge fails, campaigns may be paused until the issue is resolved.
Other Offerings. The Services may let you purchase other products or services, including third-party infrastructure or AI usage credits ("Offerings"). You represent that any payment information you provide is accurate and that you're authorized to use the payment method provided. We may modify, limit, or discontinue Offerings at any time.
If you use the Services to create or manage payment links or subscriptions through a payment provider you connect, the following applies:
Your Payment Account. You remain the merchant of record for transactions with your customers. sim1 does not take custody of your payment account or customer funds. Payment processing is provided by the third-party payment provider you connect and is subject to that provider's terms, fees, settlement schedule, and privacy policy.
No Revenue Share. sim1 charges a flat subscription fee and does not take a percentage of payments you receive from your customers. Any payment-processing fees, reserves, holds, payout timing, withdrawal requirements, or minimums are imposed and managed by your connected payment provider, not sim1.
Refunds, Chargebacks & Disputes. You are responsible for refunds, chargebacks, disputes, negative balances, and related obligations arising from payments you collect. These are handled through your connected payment provider under its terms.
Taxes. You are solely responsible for reporting income received through the Services to the applicable tax authorities. sim1 does not provide tax advice.
Ownership. You retain ownership of content or inputs you provide to the Services ("Your Inputs") and, as between you and sim1, outputs generated specifically for Your Organization ("Your Outputs"). sim1 retains ownership of the Services themselves — the platform, software, model orchestration, templates, underlying technology, and all sim1 names, logos and marks.
License to Us. By submitting Your Inputs, you grant sim1 a license to access, host, store, reproduce, transmit, and use Your Inputs to operate and improve the Services, including to improve the workflows and prompting that power sim1's agents, and to display or distribute Your Inputs you designate for public display (such as your public subdomain). This license is royalty-free, worldwide, and lasts for as long as Your Inputs are stored with us.
Open Source. If you use the Services to generate software code, Your Outputs may include publicly available software subject to open source licenses. You are responsible for identifying and complying with any applicable open source licensing terms in code created or deployed through the Services.
Feedback. Feedback you give us about the Services becomes sim1's property, and you assign us any rights you may have in it.
By agreeing to these Terms, you agree to our Acceptable Use Policy, which is incorporated here by reference.
Our data practices are described in our Privacy Policy. By using the Services, you consent to communications related to authentication, account activity, billing, and operations.
Your access to and use of the Services are at your own risk.
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. sim1 makes no warranty regarding the completeness, accuracy, availability, security, or reliability of the Services, or that the Services will be uninterrupted or error-free.
sim1 takes no responsibility for Your Inputs, Your Outputs, Agentic Actions, or other content created, uploaded, or sent through the Services. We do not guarantee that advertising campaigns will achieve any result, that ads will be approved by third-party platforms, or that Agentic Actions will operate as intended. We are not responsible for the security, policies, or availability of third-party AI model providers, Connected Services, or other third-party platforms.
To the maximum extent permitted by law, sim1 will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising out of or related to your use of the Services, however caused, whether in contract, tort, or otherwise, even if we have been advised of the possibility of such damage.
Our aggregate liability to you will not exceed the greater of (a) the amounts you paid us in platform fees and subscriptions in the 12 months before the event giving rise to liability, or (b) $500 USD.
You agree to defend, indemnify and hold sim1 harmless from any claims, costs, damages, losses and expenses arising out of or connected to: your violation of any third-party rights or agreements in connection with Agentic Actions taken on your behalf; your use of the Services, Your Inputs, Your Outputs and Agentic Actions; your violation of these Terms or applicable law; or your negligence, willful misconduct, or fraud.
Informal Resolution First. If a dispute arises between you and sim1, we ask that you first contact us at roni@progma.se and give us a reasonable opportunity — at least 30 days — to resolve it informally before pursuing any other remedy.
Governing Law. These Terms are governed by the laws of Sweden, without regard to conflict-of-laws principles. Where you are acting as a consumer under mandatory local law, that law's consumer-protection provisions may also apply and will take precedence over any conflicting provision here.
Venue. Subject to any mandatory consumer-protection rights you may have to bring proceedings in your own country of residence, disputes arising out of or relating to these Terms or the Services will be brought exclusively in the courts of Stockholm, Sweden.
If you breach these Terms, all licenses granted by sim1 terminate automatically. We may also suspend, disable, or delete your Account with or without notice if we believe your use creates legal, security, abuse, or operational risk, or otherwise violates these Terms. Upon termination:
Sections which by their nature should survive termination will continue to apply after these Terms end.
Entire Agreement. These Terms, together with our Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and sim1 regarding the Services, and supersede any prior agreements on the same subject.
Severability. If any provision of these Terms is found unenforceable, that provision will be severed and the remaining provisions will stay in effect.
Assignment. sim1 may assign these Terms; you may not, without our prior written consent.
Sanctions Compliance. You represent that you are not located in, or ordinarily resident in, any country subject to comprehensive EU or UN sanctions, and that you are not listed on any applicable sanctions or export-control list. We may suspend or terminate access to comply with applicable sanctions law.
Updates. We may modify these Terms from time to time, updating the "Last Updated" date above. If changes are material, we'll make reasonable efforts to notify you. Continued use of the Services after changes take effect means you accept the updated Terms.
